Section 1

Platform Terms of Service & Conditions

Governing Jurisdiction: Federal Republic of Nigeria (FCCPA 2018, Cybercrimes Act 2015, CAMA 2020)

1. Introduction & Acceptance

Welcome to Smart Catalogue ("the Platform", "we", "us", or "our"). These Terms of Service constitute a legally binding agreement between Smart Catalogue Technologies Limited and any person or entity accessing, browsing, registering for, or using our storefronts, seller dashboards, customer rooms, and payment services (referred to as "User", "Seller", "Vendor", or "Customer").

By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and any additional operating rules published by Smart Catalogue.

2. Nature of Platform & Non-Custodial Architecture

  • Interactive Commerce Platform: Smart Catalogue provides cloud software that enables merchants to publish digital product catalogues, curate private interactive customer rooms, generate itemized selections, negotiate offers, and facilitate seamless handoffs to messaging channels (such as WhatsApp) and secure payment processors (such as Paystack).
  • Independent Vendors: Sellers operate independently. Smart Catalogue is not an auctioneer, manufacturer, or direct seller of the goods listed on merchant catalogues. All sales contracts are formed directly between buyer and seller.
  • Licensed Financial Rails: All online card and bank transactions are processed via Central Bank of Nigeria (CBN)-licensed payment solution service providers (including Paystack). Smart Catalogue does not hold banking deposits or operate unauthorized custody of merchant funds.

3. Seller Eligibility, Account Security & Mandatory KYC

  • Capacity to Contract: Sellers must be at least 18 years of age and possess the legal capacity to form a binding contract under Nigerian law.
  • KYC & Anti-Money Laundering (AML): In accordance with CBN regulations, the Money Laundering (Prevention and Prohibition) Act 2022, and platform safety policies, sellers must complete mandatory identity verification (Tier 1: Government ID and BVN/NUBAN bank tally; Tier 2: CAC registration and TIN verification) before receiving automated split payouts.
  • Account Responsibility: You are solely responsible for all activities conducted under your credentials and for maintaining the secrecy of passwords and multi-factor authentication (MFA) tokens.

4. Product Listings, Representations & Prohibited Items

Sellers warrant that all listed goods are genuine, legally acquired, and comply with all applicable standards set by regulatory authorities including NAFDAC and SON. Counterfeit goods, weapons, prescription drugs without verified pharmacy licenses, stolen property, and intellectual property infringing merchandise are strictly prohibited.

5. Settlement Cycles & Chargebacks

Payments made through integrated split settlements deduct the platform fee and route net earnings directly to the seller's verified bank account on a T+1 (next business day) settlement schedule. Sellers remain responsible for legitimate chargebacks arising from non-delivery, defect, or fraud.

Section 3

Merchant Code of Conduct & Commercial Agreement

Binding on all registered storefront owners, partners, and vendors

1. Fair Trading & Consumer Transparency

Sellers must ensure all product pricing, discounts, and inventory counts displayed on their catalogues are accurate and kept up to date. Hidden fees, unexpected surcharges, or bait-and-switch pricing tactics are strictly prohibited.

2. Fulfillment Timelines & Standards

Orders marked as confirmed must be packaged securely and dispatched within the timeframe stated in your store delivery policy. If an item is out of stock or delayed, the seller must promptly notify the customer and propose a substitute or cancellation.

3. Corporate & Tax Compliance

Merchants are solely responsible for registering their businesses with the Corporate Affairs Commission (CAC) and remitting applicable Value Added Tax (VAT) to the Federal Inland Revenue Service (FIRS) where required by law.

Section 4

Buyer Protection & Return Policy Framework

Platform standards for order satisfaction, fulfillment disputes, and refunds

1. Storefront Return Policies

Each vendor on Smart Catalogue sets their individual return, exchange, and delivery policies displayed on their storefront. Buyers are advised to review these policies prior to completing purchases.

2. Defective, Damaged, or Inaccurate Deliveries

If an item received does not match the description on the seller's catalogue, or arrives damaged, the buyer must report the issue within forty-eight (48) hours of delivery with photographic evidence. The seller must offer an immediate replacement, repair, or full refund.

3. Platform Dispute Escalation

For orders paid via online split payments (Paystack), Smart Catalogue support intervenes if a seller fails to resolve a verified non-delivery or counterfeit report, reserving the right to reverse funds or debit seller payout reserves.
